Terms of Service

These Terms of Service (the "Agreement") are entered into by and between BuildIT ("Company") and the entity or person placing an order for or accessing the Services ("Subscriber" or "Customer").
1. Provision of Services
1.1 Access to Platform: Subject to the terms of this Agreement, BuildIT grants the Subscriber a non-exclusive, non-transferable right to access and use our workflow automation platform for internal business purposes.
1.2 Service Levels: BuildIT shall use commercially reasonable efforts to make the Services available 24/7, excluding scheduled maintenance windows.
2. Subscriber Responsibilities
2.1 Account Security: Subscriber is responsible for maintaining the confidentiality of all login credentials and for all activities that occur under their account.
2.2 Acceptable Use: Subscriber shall not (i) reverse engineer the Services, (ii) use the Services to store or transmit malicious code, or (iii) interfere with the integrity or performance of the Services.
2.3 Compliance with Laws: Subscriber represents that their use of automation workflows complies with all applicable local, state, and international laws.
3. Fees and Payment
3.1 Subscription Fees: Subscriber shall pay all fees specified in the Order Form. Except as otherwise specified, payment obligations are non-cancelable and fees paid are non-refundable.
3.2 Taxes: Fees do not include any taxes, levies, or duties. Subscriber is responsible for paying all taxes associated with their purchases.
4. Intellectual Property Rights
4.1 BuildIT Property: BuildIT retains all rights, title, and interest in and to the Services, including all source code, algorithms, and interface designs.
4.2 Subscriber Data: Subscriber retains all ownership rights to the data processed by the workflows. Subscriber grants BuildIT a limited license to host and process such data solely to provide the Services.
5. Confidentiality
Each party agrees to protect the other's "Confidential Information" with the same degree of care it uses to protect its own sensitive information. This includes business plans, technical data, and the specific terms of this Agreement.
6. Limitation of Liability
6.1 Exclusion of Damages: In no event shall BuildIT be liable for any indirect, incidental, special, or consequential damages (including loss of profits or data) arising out of or in connection with the Services.
6.2 Liability Cap: BuildIT's total aggregate liability shall not exceed the amounts paid by the Subscriber in the twelve (12) months preceding the incident giving rise to the claim.
7. Indemnification
Subscriber shall defend, indemnify, and hold harmless BuildIT against any third-party claims arising from Subscriber's breach of Section 2.2 or the unauthorized use of Subscriber Data.
8. Term and Termination
8.1 Term: This Agreement commences on the date the Subscriber first accesses the Services and continues until the subscription expires or is terminated.
8.2 Termination for Cause: Either party may terminate this Agreement if the other party materially breaches its obligations and fails to cure such breach within thirty (30) days of written notice.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which BuildIT is incorporated, without regard to conflict of law principles.
